This Terms of Service agreement ("Agreement" or "Terms") is a legally binding contract between you ("User," "you," or "your") and SafeOpsHub LLC ("SafeOpsHub," "Company," "we," "us," or "our"), governing your access to and use of the SafeOpsHub platform, including all associated websites, applications, services, tools, and features (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT HAVE SUCH AUTHORITY, YOU MUST NOT ACCEPT THESE TERMS AND MAY NOT USE THE SERVICE.

1. Definitions

The following definitions apply throughout this Agreement:

  • "Account" means the user account created to access the Service.
  • "Authorized User" means any individual granted access to the Service under your Account or Organization.
  • "Content" means any data, text, files, documents, images, or other materials uploaded, submitted, or transmitted through the Service.
  • "Organization" means the business entity, company, or group that manages an account and its associated sites, users, and data within the Service.
  • "Safety Data Sheet" or "SDS" means a document that provides information about the properties of hazardous chemicals, as defined by OSHA's Hazard Communication Standard (29 CFR 1910.1200).
  • "Service" means the SafeOpsHub platform, including but not limited to SDS management, document storage, AI-powered data extraction, label generation, QR code generation, compliance tools, and all related features.
  • "Subscription" means the paid plan selected by the User that determines access levels, feature availability, and usage limits.

2. Description of Service

SafeOpsHub provides a cloud-based platform for managing Safety Data Sheets and workplace safety compliance documentation. The Service includes tools for SDS document storage, organization, search, AI-powered data extraction, hazard label generation (GHS, NFPA, HMIS), QR code access, chemical risk assessment reports, team management, and related safety compliance features.

2.1 Important Disclaimers About the Service

PLEASE READ THESE DISCLAIMERS CAREFULLY:

(a) Not a Safety Consultant. SafeOpsHub is a software tool designed to assist with safety data management. The Service does NOT constitute professional safety consulting, industrial hygiene advice, legal counsel, or regulatory compliance certification. You should consult qualified safety professionals, industrial hygienists, and legal advisors for compliance guidance specific to your workplace.

(b) SDS Accuracy. SafeOpsHub is a document management platform, NOT the author or source of Safety Data Sheets. Users are solely responsible for the accuracy, completeness, and currency of all SDS documents uploaded to the Service. SafeOpsHub does not verify, validate, or guarantee the accuracy of any SDS content.

(c) AI-Extracted Data. The Service uses artificial intelligence to extract structured data from SDS documents. AI-extracted data is provided for convenience and informational purposes only. It is NOT a substitute for reading and understanding the actual SDS document. AI extraction may contain errors, omissions, or inaccuracies. Users must independently verify all AI-extracted information against the original SDS before relying on it for safety decisions.

(d) Labels and Reports. GHS, NFPA, HMIS labels, secondary container labels, and chemical risk assessment reports generated by the Service are based on AI-extracted data and are provided for informational purposes only. Users are solely responsible for verifying the accuracy of all generated labels and reports before use in the workplace.

(e) OSHA Compliance. The Service is designed to assist with OSHA Hazard Communication Standard compliance, but it does NOT guarantee compliance with any federal, state, or local regulations. Users remain solely responsible for ensuring full compliance with all applicable workplace safety laws and regulations, including but not limited to OSHA 29 CFR 1910.1200.

(f) No Guarantee of Safety. Use of the Service does not guarantee workplace safety or the prevention of accidents, injuries, illnesses, or fatalities. SafeOpsHub shall not be held liable for any workplace incidents, regardless of whether the Service was used in connection with safety management at the affected location.

3. Account Registration and Security

3.1 To access the Service, you must create an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify SafeOpsHub of any unauthorized use of your account or any other breach of security.

3.3 You may not share your account credentials with any third party, create multiple accounts to circumvent usage limits, or use another person's account without permission.

3.4 SafeOpsHub reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a security risk.

4. Subscriptions, Billing, and Payment

4.1 Subscription Plans. The Service is offered through various subscription tiers with different feature sets and usage limits. Current plans and pricing are available on our Pricing page. SafeOpsHub reserves the right to modify pricing and plan features at any time, with notice to existing subscribers.

4.2 Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms.

4.3 Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the billing management portal.

4.4 Payment Processing. Payment is processed through Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's terms of service. SafeOpsHub does not store credit card numbers or sensitive payment information on its servers.

4.5 Failed Payments. If a payment fails, SafeOpsHub may suspend access to the Service until the payment issue is resolved. We will attempt to notify you of failed payments via email.

4.6 Refunds. Subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription purchase and have not substantially used the Service, you may request a refund by contacting support. SafeOpsHub reserves the right to approve or deny refund requests at its sole discretion.

4.7 Taxes. You are responsible for all applicable taxes, duties, and levies associated with your subscription, except for taxes based on SafeOpsHub's net income.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:

  • Use the Service for any illegal purpose or in violation of any applicable law or regulation.
  • Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Resell, sublicense, or redistribute the Service or any portion thereof without prior written consent.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.
  • Use the Service to store or process data unrelated to workplace safety and SDS management.
  • Circumvent or attempt to circumvent any usage limits, access controls, or security measures.

6. User Content and Data Ownership

6.1 Your Content. You retain all ownership rights to the Content you upload, submit, or transmit through the Service, including SDS documents, company logos, and organizational data. SafeOpsHub does not claim ownership of your Content.

6.2 License Grant. By uploading Content to the Service, you grant SafeOpsHub a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display your Content solely for the purpose of providing and improving the Service. This license terminates when you delete your Content or close your account.

6.3 AI Processing. You acknowledge and consent that Content uploaded to the Service may be processed by artificial intelligence systems for the purpose of data extraction, analysis, label generation, and risk assessment. AI processing is performed solely to deliver Service features and your Content is not used to train third-party AI models.

6.4 Content Responsibility. You are solely responsible for all Content uploaded to the Service. You represent and warrant that you have all necessary rights and permissions to upload and use such Content, and that your Content does not infringe upon the intellectual property rights of any third party.

6.5 Data Export. You may export your data from the Service at any time during your active subscription. Upon account termination, SafeOpsHub will retain your data for a period of 30 days, during which you may request an export. After 30 days, your data may be permanently deleted.

7. Intellectual Property

7.1 The Service, including its design, features, functionality, code, documentation, trademarks, logos, and all related intellectual property, is owned by SafeOpsHub LLC and is protected by copyright, trademark, and other intellectual property laws.

7.2 Subject to your compliance with these Terms, SafeOpsHub grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 No rights are granted to you other than as expressly set forth in these Terms. All rights not expressly granted are reserved by SafeOpsHub.

8. Confidentiality

8.1 Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with the Service ("Confidential Information"), and to use such information only for the purposes contemplated by this Agreement.

8.2 Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is lawfully obtained from a third party without restriction.

8.3 SafeOpsHub will implement reasonable administrative, technical, and physical safeguards to protect the confidentiality and security of your data stored within the Service.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFEOPSHUB LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, MEMBERS, MANAGERS, AFFILIATES, SUBSIDIARIES, SUCCESSORS, SUPPLIERS, AND LICENSORS (COLLECTIVELY, THE "SAFEOPSHUB PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF SAFEOPSHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 WITHOUT LIMITING THE FOREGOING, THE SAFEOPSHUB PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) WORKPLACE ACCIDENTS, INJURIES, ILLNESSES, OR FATALITIES; (B) INACCURATE, INCOMPLETE, OR OUTDATED SDS DOCUMENTS; (C) ERRORS IN AI-EXTRACTED DATA, GENERATED LABELS, OR RISK ASSESSMENT REPORTS; (D) FAILURE TO COMPLY WITH OSHA OR OTHER REGULATORY REQUIREMENTS; (E) RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE SERVICE; (F) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (G) INTERRUPTION OR CESSATION OF THE SERVICE; OR (H) ANY THIRD-PARTY CONDUCT OR CONTENT.

9.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE SAFEOPSHUB PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SAFEOPSHUB DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.4 The limitations in this section apply regardless of whether SafeOpsHub has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Disclaimer of Warranties

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SAFEOPSHUB SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 SafeOpsHub does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the Service will be accurate, reliable, or complete; (c) the Service will meet your specific requirements; or (d) any errors in the Service will be corrected.

10.3 SafeOpsHub does not warrant the accuracy, completeness, or reliability of any AI-generated content, including but not limited to extracted SDS data, hazard labels, risk assessments, or compliance recommendations.

10.4 No advice or information, whether oral or written, obtained from SafeOpsHub or through the Service shall create any warranty not expressly stated in these Terms.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless the SafeOpsHub Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Content or any data you upload to the Service; (e) any workplace incident, injury, illness, or fatality at your premises or any location managed through the Service; (f) your reliance on AI-extracted data, generated labels, or risk assessment reports; (g) any claim that your Content infringes the intellectual property rights of a third party; or (h) your failure to comply with OSHA or other applicable safety regulations.

11.2 SafeOpsHub reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

12. Termination

12.1 By You. You may terminate your account at any time by cancelling your subscription through the billing management portal. Cancellation takes effect at the end of the current billing period.

12.2 By SafeOpsHub. SafeOpsHub may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to: (a) breach of these Terms; (b) non-payment of fees; (c) fraudulent or illegal activity; (d) conduct that poses a security risk; or (e) at SafeOpsHub's sole discretion for any business reason.

12.3 Effect of Termination. Upon termination: (a) your right to access the Service immediately ceases; (b) you remain liable for all fees incurred prior to termination; (c) SafeOpsHub will retain your data for 30 days, after which it may be permanently deleted; (d) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 7, 8, 9, 10, 11, 13, and 14.

13. Dispute Resolution and Governing Law

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State in which SafeOpsHub LLC is organized, without regard to its conflict of law provisions.

13.2 Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact SafeOpsHub at [email protected] and attempt to resolve the dispute informally for at least 30 days.

13.3 Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver. YOU AND SAFEOPSHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13.5 Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. General Provisions

14.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SafeOpsHub regarding the Service and supersede all prior agreements and understandings.

14.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver. The failure of SafeOpsHub to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without SafeOpsHub's prior written consent. SafeOpsHub may assign these Terms without restriction.

14.5 Force Majeure. SafeOpsHub shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, terrorism, labor disputes, power failures, internet disruptions, or cyberattacks.

14.6 Notices. SafeOpsHub may provide notices to you via email to the address associated with your account or by posting notices on the Service. You may provide notices to SafeOpsHub at [email protected].

14.7 Modifications. SafeOpsHub reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

14.8 Third-Party Services. The Service may integrate with or contain links to third-party services (e.g., Stripe for payments, AI services for data extraction). SafeOpsHub is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

14.9 Export Compliance. You agree to comply with all applicable export control laws and regulations in your use of the Service.
